This course for junior transactional associates covers basic business practices, contract drafting, creating enforceable corporate obligations, transaction structuring and due diligence skills. An online version of this program will be soon be available from the Practising Law Institute.

Contract practice for junior lawyers

Participants in this course learn the basic building blocks of contracts - definitions, representations, conditions precedent, covenants and remedial provisions - and how each is used to further the clients' business objectives.  The importance of clear and precise drafting techniques is stressed. We explore common sources of drafting errors and how to fix them, as well as the proper uses of reasonableness and materiality.

Contract practice for experienced lawyers

This course explores more advanced contract skills, including: how financial concepts are expressed in contract provisions; identifying and avoiding conflicts between agreements; expressing complex concepts in clear terms; and best practices for working closely with clients and junior associates on drafting and negotiating contracts.
