The vast majority of the parties in large transactions are not people but entities: corporations, limited liability companies and limited partnerships. This program focuses on the following legal issues that come up in every deal that involves entities - in other words, in almost every transaction that your firm is involved in:
- Does the entity exist under the relevant body of law?
- Does the entity have the legal power to enter into the transaction?
- Have all steps been taken for the transaction to be authorized by the entity?
- Have the contracts been properly signed on behalf of the entities?
- Will any laws or contracts be violated when the entity enters into the transaction?
In addition to coming up in almost every transaction, these issues also arise in a variety of important contexts: in the negotiation of contracts, in legal opinions, in due diligence, and in closings.
Junior associates are often expected to do a majority of the work associated with these issues.
